1. The Parties

These Terms of Service ("Terms") govern your access to and use of the Jcove platform, website, and related services (collectively, the "Service") operated by daflash LLC, a limited liability company ("daflash," "we," "us," or "our"). Jcove is a brand and product of daflash LLC.

By requesting access, accepting an invitation, or using the Service in any capacity, you ("Member," "User," or "you") agree to these Terms in full.

2. Nature of the Service

Jcove is a closed, trust-based social network designed to facilitate romantic introductions among Jewish singles in the United States. The Service is not an open platform. Access is granted exclusively through a multi-stage admission process that includes personal sponsorship by existing members and explicit approval by an authorized operator.

The Service operates in Phase 1 with the sole intent of facilitating romantic connections among verified, admitted members. No other use case or intent is supported in Phase 1.

Jcove does not guarantee matches, relationships, or any specific outcome from use of the Service. The platform facilitates introductions; outcomes are the responsibility of the members involved.

3. Eligibility

To be eligible for membership, you must:

• Be at least 18 years of age;
• Be a legal resident of the United States;
• Hold a valid, active United States mobile phone number capable of receiving SMS;
• Be sponsored by exactly three (3) existing active members of Jcove who agree to serve as your personal guarantors;
• Receive explicit written approval from an authorized Jcove operator;
• Agree to these Terms in full;
• Not be currently banned or suspended from the Service.

daflash LLC reserves the absolute right to deny admission to any applicant for any reason or no reason, at its sole discretion.

4. The Admission Process

4.1 Sponsorship

Admission requires three existing active members to serve as your personal guarantors. By accepting the role of guarantor, existing members represent that they personally know the applicant, believe the applicant will act in accordance with community standards, and accept shared responsibility for the applicant's conduct on the platform.

4.2 Identity Verification

Your identity on Jcove is anchored to a verified mobile phone number. You must complete SMS one-time password (OTP) verification to establish your identity. One phone number may be associated with only one member account. Use of another person's phone number, virtual numbers, VoIP numbers, or numbers not registered in your name is strictly prohibited.

4.3 Operator Approval

Completion of sponsorship and identity verification does not automatically confer membership. A separate, explicit, affirmative decision by an authorized operator is required for admission. This gate cannot be bypassed, automated, or waived.

5. Member Conduct

As a condition of membership, you agree to:

• Represent yourself honestly and accurately in your profile and all interactions;
• Interact with other members with respect, dignity, and good faith;
• Not use the Service for any commercial purpose, solicitation, or promotion;
• Not impersonate any person or misrepresent your identity;
• Not harass, stalk, threaten, or harm any other member;
• Not attempt to access any account or system other than your own;
• Not share, distribute, or disclose any other member's personal information, including phone numbers received through the matching process, without that member's explicit ongoing consent;
• Not circumvent any security or access control feature of the Service;
• Comply with all applicable local, state, and federal laws.

Violation of any of the above may result in immediate suspension or permanent termination of your membership, with or without notice, at daflash LLC's sole discretion.

6. The Guarantor System

By becoming an active member, you may be invited to serve as a guarantor for other applicants. Serving as a guarantor is voluntary. By accepting the role, you represent that you personally know the applicant and take on a degree of community responsibility for their conduct. Jcove does not impose automatic financial liability on guarantors, but your reputation within the network and your continued membership may be considered in the event of a sponsored member's misconduct.

Every active member must maintain exactly three active guarantors at all times. If your guarantor count drops below three, you will be notified and provided a defined window to identify replacement guarantors. Failure to restore the required count within the specified window will result in your account being placed in a restricted state.

7. Phone Number Exchange and Matching

When two members mutually indicate interest and both affirmatively confirm, their mobile phone numbers are exchanged by SMS. Both members must provide explicit consent before any phone number is disclosed. This pre-disclosure confirmation is mandatory and cannot be skipped.

Following a phone number exchange, communication continues outside of the Jcove platform. daflash LLC is not responsible for communications, conduct, or outcomes that occur between members after a phone number exchange.

8. Subscriptions and Billing

8.1 Subscription Fee

Active membership requires a recurring monthly subscription of $9.99 per month (or the founding member rate of $4.99 per month for qualifying founding cohort members). Subscriptions are billed monthly to the payment method you provide.

8.2 Founding Member Rate

The first one thousand (1,000) members admitted to Jcove may qualify for the founding member rate of $4.99 per month. This rate is locked for the duration of continuous active membership. If a founding member's account is terminated or cancelled and subsequently reinstated, the founding rate may not be restored.

8.3 Tzedakah Allocation

One dollar ($1.00) from each monthly subscription is allocated to charitable organizations as part of Jcove's Tzedakah Engine. Members select their preferred recipient organization from a curated list of Israeli registered nonprofit organizations. This allocation is processed automatically. daflash LLC reserves the right to modify the list of eligible organizations with reasonable notice.

8.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. daflash LLC does not offer refunds for any subscription period already billed, except where required by applicable law.

8.5 Payment Processing

Payment processing is handled by third-party payment processors. By providing payment information, you authorize recurring charges as described above. daflash LLC does not store full payment card information on its servers.

9. Account Termination

daflash LLC may suspend or permanently terminate your account at any time, for any reason, including but not limited to:

• Violation of these Terms;
• Fraudulent, abusive, or harmful conduct;
• Failure to maintain three active guarantors within the required window;
• Sustained non-payment of subscription fees;
• Any conduct daflash LLC determines, in its sole discretion, to be harmful to other members or the community.

You may also terminate your account at any time by contacting jcove@daflash.com. Upon termination, your access to the Service will cease. Certain provisions of these Terms survive termination.

10. Intellectual Property

All content, design, software, and technology comprising the Jcove platform — including but not limited to the Jcove name, logo, user interface, and system architecture — are the proprietary property of daflash LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes only.

You retain ownership of content you submit to the platform (such as profile information). By submitting content, you grant daflash LLC a non-exclusive license to use, display, and store that content for the purpose of operating the Service.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DAFLASH LLC DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

DAFLASH LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. DAFLASH LLC IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY MEMBER, WHETHER ONLINE OR OFFLINE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAFLASH LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO DAFLASH LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless daflash LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including the rights of other members; or (d) any content you submit to the platform.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding individual arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

Class action waiver: You agree that all claims will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

14. Modifications to These Terms

daflash LLC reserves the right to modify these Terms at any time. Material changes will be communicated to active members via email or in-platform notice at least fourteen (14) days before taking effect. Continued use of the Service after the effective date of modified Terms constitutes acceptance of the revised Terms.
